Terms of Service

The terms that govern your use of the Abijany platform.

These Terms of Service ("Terms") constitute a legally binding agreement between Abijany Limited ("Company", "we", "us", "our") and the individual or entity ("Client", "you", "your") accessing or using our AI-powered advertising management platform ("Platform", "Service").

By connecting an advertising account to our Platform, you agree to be bound by these Terms.

1. What We Provide

The Platform provides AI-assisted management and optimisation of digital advertising campaigns on Google Ads and Meta Ads (Facebook and Instagram) on your behalf. The Service connects to your advertising accounts via authorised API access, analyses campaign performance data, and executes optimisation actions — including adjusting bids, modifying budgets, pausing underperforming elements, rotating creative assets, and adjusting targeting — subject to the goals and limits you define.

The Platform operates in one of three modes:

  • Shadow Mode — AI analyses your accounts and shows what it would do, but executes no changes.
  • Supervised Mode — all recommended actions are sent to you for approval before execution.
  • Full Autopilot Mode — AI executes approved action types autonomously within your defined limits.

2. Your Responsibilities

You are responsible for:

  • Ensuring the advertising accounts you connect belong to you or that you have authority to manage them.
  • Complying with Google's and Meta's advertising policies at all times.
  • Setting realistic goals, budget caps, and guardrail limits during onboarding.
  • Reviewing and responding to approval requests within a reasonable time.
  • Ensuring you have the legal right to use any audience data you upload.

3. AI Decision-Making and Liability

Our AI agent makes autonomous decisions within the limits you define. While we build extensive safety systems, no automated system is infallible. You acknowledge that:

  • AI decisions are made based on available data and may not always produce the expected outcome.
  • You retain responsibility for the performance of your advertising accounts.
  • Our liability for losses arising from AI decisions is limited as set out in Section 9 of the full Terms.
  • The budget caps, guardrails, and approval thresholds you set are your primary protection.

4. Account Connection and Credentials

When you connect your advertising accounts, you grant Abijany access via OAuth. Your credentials are stored exclusively in AWS Secrets Manager — never in our database. You may revoke this access at any time from your dashboard or directly from Google/Meta. Upon disconnection, we immediately revoke API access and delete your credentials.

5. Subscription and Payment

Access to the Platform requires a paid subscription. Subscriptions are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to adjust pricing with 30 days' notice.

6. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which forms part of these Terms. A full Data Processing Agreement (DPA) is available on request by emailing privacy@abijany.com.

7. Acceptable Use

You must not use the Platform to:

  • Advertise products or services that violate Google's or Meta's advertising policies.
  • Circumvent advertising platform restrictions or policies.
  • Upload customer data for which you do not have a lawful basis.
  • Attempt to interfere with, reverse-engineer, or exploit the Platform's AI systems.

8. Termination

Either party may terminate the subscription with 30 days' notice. We may terminate immediately for material breach, non-payment, or violation of these Terms. Upon termination, we will cease all activity on your accounts and return access within 24 hours.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claims arising from the Service shall not exceed the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, or for losses arising from advertising platform policy changes, API outages, or decisions made within your defined guardrails.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
